Accelerating the roll-out of Software Defined Television

Today marks a momentous day for ActiveVideo. After beginning the drive to software defined television many years ago, we have secured our destiny at a critical inflection point by agreeing to be acquired by two leading industry pioneers — ARRIS and Charter Communications. This new joint venture will accelerate our growth and help us further pursue our mission to unleash the power of virtualizing CPE functions in the cloud. 

Specific to the deal, ActiveVideo will operate independently as a joint venture between ARRIS, the majority partner, and Charter. ARRIS will become the ActiveVideo sales channel to global markets, and I will continue to lead ActiveVideo with the current ActiveVideo management team.  The transaction is expected to close within 30 days, subject to customary closing conditions, including regulatory approvals. 

 

To our customers: 

A heartfelt thank-you for your business and your faith in our ability to deliver. This deal is about accelerating growth and achieving global scale. We have pioneered disruptive technologies and have proven the power of virtualizing CPE functions in the cloud.  You’ve asked us to scale operations, product robustness, and sales support. You’ve asked us to expand on this powerful technology and expand its application in the IP domain. You’ve asked us to follow you into new geographic domains such as Asia and Latin America.  With this joint venture, all of that now will be possible.    

ARRIS’s excellent service provider relationships, global reach, and massive installed base will significantly expand our market footprint; with Charter we’ve forged a close relationship to push innovation around a common vision of using virtualization technologies to create the most powerful television experiences available.   

 

To the market: 

This deal further validates our CloudTV technology and extends availability to the entire industry. For years, we were quietly perfecting cloud virtualization technologies well before they were mainstream. Today, we see the culmination of our blood, sweat and tears in a massive endorsement from one of the world’s top television operators in Charter, and the support of one of the most respected television solution suppliers in ARRIS. We are excited by the opportunity to continue innovating in the virtualization of the television experience. 

We remain committed to our vision of Software Defined Television and now have the operator and supplier backing to realize that vision for the benefit of the entire industry.   

 

Lastly, while we are eager to accelerate our future, we are also thankful for our past. The early vision of our founders and the relentless support of Gary Lauder made it possible to reach this point, and we are grateful for that.  Gary always believed that the combination of technological trends, our innovations, and industry competitive dynamics would make the ActiveVideo value proposition so compelling that broad adoption would be inevitable.
